Verbal agreements are common amongst traders. But what happens when words aren't enough?

Emeka is a hardworking trader who consulted us not long ago. Unfortunately, it was too late for us to help him. Emeka sold fabric in one of the markets in Lagos. He trusted a supplier's promise to a certain quality and quantity of fabrics. This supplier is a big-time importer and Emeka chose the preorder option which was supposed to make the cost of the goods cheaper. They had a verbal agreement that included, quantity, quality and expected time of delivery.

The fabrics arrived much later than the agreed time, consequently, he missed the Sallah sales he had planned for. To cap it all, they were not the quantity nor quality that was agreed. A dispute ensued, and the supplier denied the terms of their verbal agreements. Without a written agreement, Emeka had no proof of the agreement terms. He lost money and opportunities and this affected his business.

Verbal agreements can lead to misunderstandings and financial loss. Protect your business with clear, written contracts. Don't settle for verbal agreements when it matters most.

At LegalWrite, we help traders like Emeka secure their deals with solid agreements. Protect your business today. 📜🖋️

Ada is a determined single mother with a dream. Ada wanted to travel to Germany with her young son, Chidi, for a better future. She had everything planned—tickets, accommodation, and even a job offer. But there was one hurdle: the German embassy required paternal consent for Chidi's travel.

Ada was worried. Chidi's father was not in the picture, and she had no way to get his consent. The embassy made it clear that without this, Chidi’s visa application would be denied. Desperate and unsure of what to do, Ada reached out to us at LegalWrite paralegal services, to help her out.

We listened to Ada's story and assured her that there was a way to navigate this challenge. We helped her draft a well-worded affidavit, a legal document that would explain her situation.
The affidavit provided a clear, sworn statement of the facts, which could be used to satisfy the embassy's requirements. This was crucial because it allowed Ada to present her case without needing the father's consent. Among other things we attached proof some proof of parentage and other documents showing that she was the person with her child’s custody

When Ada submitted the affidavit to the German embassy, it made a strong impression. The clarity and professionalism of the document showed that Ada was serious and had solid evidence to back her claims. The embassy accepted the affidavit, and Ada and Chidi's visas were approved.

Ada was overjoyed. Her dream of a better future for herself and Chidi was now within reach. The affidavit had not only secured their travel but also restored Ada's hope and confidence. She didn’t need to go to her irresponsible baby daddy. We helped her with an affidavit that saved her all that headache.

As a paralegal business, we do all forms of legal writings (such as letters, notices, agreements) to save you and your business. So, if you find yourself in a situation such as Ada’s, don't hesitate. Let LegalWrite help you craft the documents you need to protect your interests and ensure justice.

Dear Entrepreneurs,
We know how frustrating debts and unpaid credits accorded to customers can be to your business. Many businesses are no more because of this, and we do not want that to be your business story.

HOW WE HELPED IFEANYI GET HIS MONEY

Our client, Ifeanyi, who is into the printing business, had a business deal given to him by his customer of many years, who we will call Mr. A.

Mr A made some deposits and told our client to complete the job that he will pay later. Ifeanyi completed the job and delivered but the promised payment was not made.

Mr. A Kept making promises and weeks turned to months. Ifeanyi had invested into this business with his working capital and more. And the strain of lack of funds was crippling his business. He knew he needed to act.

Ifeanyi reached out to us at LegalWrite, and we listened to his story—the unpaid bills, the worry etched on his face. We assured and reassured him, and we set to work.

Together, we crafted a compelling demand letter—the sort that cannot be ignored. The letter was clear, concise, and firm. Not everyone knows how to write compelling. The demand letter outlined the debt amount, due date, and the consequences of continued non-payment. There were no fluffs, it was hardline, and straight to the point.
I am sure Mr. was rattled and knew it wasn’t business as usual.
Days passed, and then it happened-a notification on Ifeanyi’s phone. Mr. A had transferred the funds. The debt was settled. Boy. You need to have seen Ifeanyi’s relief and joy.
Ifeanyi’s story is not just about the money. It was about justice, about standing up for what was rightfully his, about not letting others walk over him. He wouldn’t have known how to go about this or how to write a compelling demand letter, and that’s why we are here. LegalWrite had made it clear: If Mr. A didn't pay, legal action awaited.
If you're an entrepreneur, remember this: When words fail, let them flow from the tip of your pen. The right letter can change everything.

To set your business apart, meet us in the inbox. Let's help you get those money back.

Sincerely,

LegalWrite 🖋️✨

In the vibrant world of creativity, where fashion designers sketch dreams and photographers capture fleeting moments, protection is paramount. Same applies to musicians, singers, graphic designers, sculptors, etc. Let’s delve into how traders in these artistic fields can shield their work and thrive.

1. 🎨 Fashion Designers: Crafting Wearable Art

Fashion designers pour heart and soul into their collections. Each stitch, each fabric choice—weaves a story. But how can they safeguard their original designs?

- Licensing Agreements: Fashion designers can create licensing agreements. These legal documents grant permission to others (like manufacturers or retailers) to use their designs. Whether it’s a signature print or a unique silhouette, licensing ensures that only authorized parties can replicate or sell the design.

- Exclusive Rights:By licensing exclusively, designers retain control. They decide where their creations appear—whether on runways, in boutiques, or online stores.

2. 📸 Photographers: Capturing Moments, Preserving Rights

Photographers freeze time with their lenses. From candid street scenes to breathtaking landscapes, their work deserves protection.

- Copyright Basics: Photographers automatically own copyright to their images. But how can they enforce it? Licensing! By granting specific rights (like commercial use or limited print runs), photographers maintain control.

- Stock Photography: Some photographers license their work as stock photos. Businesses, bloggers, and advertisers pay to use these images legally. It’s a win-win—the photographer earns, and the user gets quality visuals.

3. 🔐 The Magic of Licensing Agreements:

- Specify Usage: Licensing agreements define how the work can be used. Is it for a single campaign or ongoing use? Is it exclusive or non-exclusive?

- Royalties and Fees: Designers and photographers negotiate fees. Royalties (a percentage of sales) or flat fees ensure fair compensation.

- Territory and Duration: Agreements can limit where the work appears (geographically) and for how long.

🌟 The Bottom Line:

Whether you’re a designer sketching a new collection or a photographer framing the perfect shot, remember this: Licensing agreements are your artistic armor. They protect your vision, your livelihood, and your creative legacy.

So, dear creatives, we know you may not know how to draft agreements to protect you, let us ink those agreements, frame your rights, and write all it takes to protect you and your business, so that you can let your art shine without fear! 🖋️✨

Our, customer Ayo, was an everyday trader—a tireless entrepreneur who sold everything from Ankara fabrics to other fashion accessories. His shop wasn't a fancy boutique; it was a humble stall at the local market.

Ayo had a dream: to take his business online. He'd heard about e-commerce platforms and social media shops where traders like him could reach a wider audience. So, he set up "Ayo's Online Store" on Instagram. His colourful photos of vibrant fabrics and shiny accessories attracted customers from all corners of Nigeria.

But Ayo didn’t know that his online store should have some stated policies. He didn't realize that his online venture needed more than just pretty pictures and hashtags. That's when trouble knocked on his virtual door.

🌐 The First Order: A Customer's Complaint

One sunny morning, Ayo received a direct message from a customer named Funmi. She'd ordered a beautiful Ankara dress from his online store. But when it arrived, the colours were different from what she'd seen on her phone screen. Funmi was upset—she wanted a refund.

Ayo panicked and nearly made a mess of his business online. He didn't have a clear policy for returns and refunds. His Instagram bio simply said, "DM for orders." He'd never thought about the legal side of things. He couldn't afford to lose customers, but he also couldn't afford to refund everyone who changed their minds.

He was on the verge of refusing to refund when he told his friend, Tunde- a customer of ours that we helped create legal papers for his tech website. Tunde referred him to us, and we delivered.

🔍 The Power of Clarity

We helped Ayo draft his business’ Terms of Service Agreement. Amongst other things, it includes:

1. 🛒 Payment and Delivery: Ayo's terms now clearly stated how payments worked (no more haggling in DMs!) and when customers could expect their orders.

2. 🔄 Returns and Refunds: Ayo added a section about returns. Funmi could return the dress within 14 days if she wasn't satisfied. And yes, refunds were possible—but with conditions.

3. 🔐 Limitation of Liability: Ayo learned that he wasn't responsible for damages during shipping or if the colours looked different in real life. His liability had limits.

🚀 Ayo's Win: Happy Customers and Fewer Headaches

When we finished the ToS, Ayo sent it to Funmi, who was relieved that she could send back the dress for a refund based on some terms and conditions.

Word spread. Other customers appreciated the clarity. They knew what to expect, and Ayo's online store gained trust. His business boomed, and he even expanded to selling phone accessories online too.

🎉 The Moral of the Story: if you are an online business, you may be hurting your business without a solid Terms of Service Agreement.
A Terms of Service Agreement creates trust between you and your customer, makes for clarity and protects you and your customers.
So, dear businesspeople, whether you offer services, sell Ankara dresses or phone chargers, remember Ayo's tale. Don't be like old Ayo without terms; be like savvy Ayo with a clear roadmap. Protect your business, serve your customers, and thrive in the digital marketplace. 🌟

📝 Why Every Online Trader Needs a Solid Terms of Service Agreement

---

Introduction:
As an online trader, whether you sell products on social media or through an e-commerce platform, having a well-crafted Terms of Service (ToS) agreement is crucial. Let's dive into why it matters and how it protects both you and your customers.

1. Setting Expectations:
- Your ToS acts as a rulebook for your business. It outlines the terms under which customers can use your services or purchase your products.
- By clearly stating policies related to shipping, returns, refunds, warranties, and payment methods, you set expectations upfront. Customers know what to anticipate, reducing misunderstandings.

2. Legal Protection:
- A robust ToS provides legal protection. It defines your rights and responsibilities as a trader.
- For instance, you can address issues like intellectual property rights (protecting your brand and content), limitations of liability (reducing your exposure to certain risks), and dispute resolution procedures.

3. Dispute Resolution:
- When conflicts arise (e.g., delayed deliveries, damaged goods), your ToS outlines how disputes will be handled.
- Specify whether disputes will be resolved through negotiation, mediation, or legal action. Clarity here prevents lengthy legal battles.

4. Privacy and Data Handling:
- Explain how you collect, use, and protect customer data. This builds trust.
- Cover topics like cookies, privacy policies, and consent for marketing emails.

5. User Behavior and Restrictions:
- Set guidelines for user behavior (e.g., no harassment, no fraudulent activities).
- Specify any restrictions (e.g., age limits, geographic limitations).

6. Changes to Terms
- Inform customers that your ToS may change over time. Provide notice when updates occur.
- This ensures transparency and allows users to make informed decisions.

Conclusion
A well-drafted ToS agreement isn't just legal jargon—it's a shield that protects both you and your customers. Invest time in creating one that reflects your business practices and fosters trust. 🛡️
