🏠 Thinking of Investing in Property in Nigeria? How I Saved a U.S. Investor from a Costly Mistake

Investing in property abroad can be a lucrative move, but it’s not without its challenges—especially when you're investing in a different legal landscape. 🌍 One of my clients, a U.S. based investor, was excited to purchase a prime property in Nigeria. He had a clear vision of growing his portfolio in Africa, but there was one problem: he didn’t fully understand the complexities of Nigerian property laws.

At first, everything seemed perfect. The location was ideal, the price was within budget, and the property looked like a great investment. But as part of my due diligence, I took a closer look at the legal documents and title. That’s when we uncovered major issues the title was defective, and the zoning regulations for that area weren’t favorable for development, as it fell under a protected zone with restrictions.

Had my client gone ahead with the deal, he could have faced a protracted legal battle, a loss of funds, and damage to his reputation. 😓

After discovering these issues, I advised him to walk away from the deal. But instead of feeling defeated, we shifted focus. We scoured the market for another property this time, with proper legal backing. We found a great alternative, carried out the necessary due diligence, cleared the title, and ensured all zoning and regulatory requirements were in place.

In the end, my client was able to secure a solid investment, legally protected and with a clear path forward.Now, he’s expanding his real estate portfolio in Nigeria with confidence.

Last month, I helped a tech entrepreneur resolve a critical contract dispute with a vendor — and here’s why it mattered.

A startup founder had signed a contract with a vendor for essential software development services, but the vendor failed to deliver on time, threatening the startup’s product launch and investor commitments.

The contract had ambiguous terms, and the vendor was uncooperative, claiming they were owed full payment despite delays. The founder faced potential financial loss and a damaged reputation if the launch was postponed.

I reviewed the contract, identified enforceable clauses, and negotiated a revised agreement that held the vendor accountable. I also secured a partial refund and expedited delivery to keep the launch on track.

My path to law began in the vibrant, book-filled home of my aunty Chinyere in Warri Delta state , Nigeria.
An English teacher married to a doctor, her passion for literature, business, and justice shaped my world. Our living room was a sanctuary of stories shelves overflowing with novels by Chinua Achebe, Jane Austen, and Buchi Emecheta, alongside worn law books.

Aunty Chinyere’s voice brought these texts to life. She would recount tales of Hon. Justice Matthew Azubuike Onyiuke, a revered Chief Justice from our village whose legacy inspired her own dream to want to study law As second degree .She also spoke of national pioneers like Sir Adetokunbo Ademola, Nigeria’s first Chief Justice, and trailblazing women like Stella Thomas, the first female lawyer; Modupe Omo-Eboh, the first female judge; and Folake Solanke, the first female Senior Advocate of Nigeria.

A fierce advocate, she championed the rights of women and children through community initiatives and her leadership in the church. Her business acumen was just as inspiring. I vividly remember her negotiating a distribution contract with Chivita, her sharp mind ensuring every clause protected her interests as she mentored other entrepreneurs.

To me, a starry-eyed teenager, she’d read from Things Fall Apart one moment and the Nigerian Evidence Act the next, showing me how law, like literature, tells the stories of human struggle and triumph. Those evenings lit a fire in my soul, and I began poring over her law texts, dreaming of writing my own stories of justice.

But in 2006, my world crumbled when Aunty Chinyere fell gravely ill. Her death in 2007, when I was fifteen, left a profound void. The grief was overwhelming, but in that darkness, I found my purpose: I would honor her multifaceted legacy her passion for justice, her entrepreneurial spirit, and her unrealized dream by becoming a lawyer myself.

That resolve has guided me through law school and into my practice in Lagos. As a mother of four, I channel her lessons daily. Her literary teachings taught me to listen to clients’ stories with empathy, while her advocacy and business acumen inspire me to empower them with legal strategies that protect their dreams, whether I am drafting a contract, securing a property title, or navigating an immigration case and also in other areas of my legal profession.

Today, my passion is fueled by the moment a client’s face lights up with relief—when a business is safeguarded, a home is secured, or a right is upheld. Each case feels like a chapter in a larger story of justice, one I write to honor my aunty Chinyere. Her voice remains my guiding North Star.

Legal Myth Story: The “No Contract, No Protection” Misconception

During a consultation last month, a client, Tolu, a freelance software developer, came to me frustrated. “I’ve been working for this company for six months without a contract,” he said, shaking his head. “A friend told me I have no legal rights because we never signed anything. Is that true?” His voice was heavy with worry, and I could tell he thought he was completely unprotected.

Tolu believed that without a written contract, he had no legal protections for his work or the payments owed to him. He’d heard from a colleague that verbal agreements or informal arrangements (like emails or WhatsApp chats) were worthless legally. It seemed logical to him: no signed document, no proof, no rights ! right?

Here’s the reality: in many jurisdictions, including Nigeria, a contract doesn’t always need to be a formal written document to be legally binding. Verbal agreements, emails, or consistent conduct (like delivering work and receiving payments) can form a legally enforceable contract if there’s evidence of an offer, acceptance, and consideration. This myth is dangerous because it discourages people like Tolu from pursuing their rights, leaving them vulnerable to exploitation.

If Tolu believed this myth and walked away, he could have lost thousands of naira in unpaid fees. He risked being shortchanged by the company, who might claim different terms or deny the agreement entirely. Pursuing a claim without a written contract could require gathering evidence like emails or payment receipts, costing him time and stress. In the worst case, he could lose his claim entirely if the evidence wasn’t strong enough, impacting his livelihood.

Always aim for a written contract to clarify terms and protect yourself, but don’t assume you’re powerless without one. Keep records of all communications etc emails, texts, or screenshots of agreements. If you’re working without a formal contract and something goes wrong, consult a lawyer to assess your options based on available evidence. Proactively protecting yourself is key to avoiding disputes.

My legal career journey : the moments that that redefined my confidence.

I remember In 2022, in My Lagos office, Me as a mum of four and a commercial lawyer striving to rebuild my career after years dedicated to motherhood.

My days blended diaper changes with drafting contracts, leaving me stretched thin as I tried to shine in both roles. A challenging case involving international trade regulations became the moment that redefined my confidence.

I was advising a Nigerian exporter, A client , on a high-stakes deal with a North American buyer, governed by complex international compliance rules. Her eyes were heavy with worry as she said, “This deal is my children’s future please make it happen. Her words struck a chord with me, reflecting my own drive to secure a better future for my kids. However, the deal’s regulatory hurdles felt daunting, and I doubted whether I could balance motherhood with such a demanding case.

The breakthrough came one night after tucking my kids in when I found a key regulation that could secure the deal. I stayed up late, aligning the contract with both Nigerian and international laws, and presented a watertight plan to Amaka. Her relieved smile as the deal closed was my turning point .
I realized I could be a devoted mum and a fierce lawyer by trusting my skills and focus.

Now, as the Business Lawyer who is passionate driven I tackle cross-border deals with resilience determined.
