𝐎𝐟𝐟𝐢𝐜𝐢𝐚𝐥 𝐂𝐨𝐦𝐦𝐮𝐧𝐢𝐪𝐮𝐞́ - 𝐈𝐁𝐈𝐒 𝐎𝐰𝐧𝐞𝐫𝐬𝐡𝐢𝐩 𝐁𝐨𝐚𝐫𝐝 𝐌𝐞𝐞𝐭𝐢𝐧𝐠

The Ownership Board of IBIS Group convened its 64th Monthly Virtual Meeting on Friday, 5th September 2025 via the IBIS Digital Hub. The meeting was officially opened by 𝙩𝙝𝙚 𝙘𝙤𝙢𝙥𝙖𝙣𝙮 𝙨𝙚𝙘𝙧𝙚𝙩𝙖𝙧𝙮 Abubakar Yusuf SP who presented the agenda before inviting the opening recitation and handing over to the Chairman & Chief Executive Officer.

In his opening remarks, 𝐂𝐡𝐚𝐢𝐫𝐦𝐚𝐧 & 𝐂𝐄𝐎 Abdulhadi Ya'u Maikawo appreciated the dedication of all Board Members and emphasized the importance of collective responsibility in driving the company’s agenda forward.

With strong participation from the members, the meeting deliberated extensively on:

• Business Operations: Review of activities across subsidiaries including IBIS Sewing Solution Store and ongoing trade initiatives in various divisions.
• Expansion Plans: Consideration of strategies to pe*****te new markets and broaden IBIS Group’s presence.
• Collaborative Engagements: Discussions on strengthening partnerships with external stakeholders to enhance growth and innovation.

The Chief Operating Officer presented the Monthly Operational Report, highlighting key progress and areas of focus for the coming quarter, while the Chief Finance Officer delivered a transparent Financial Update, giving a clear picture of revenues, expenses, and the financial standing as well as the financial needs of the company.

A historic highlight of this session was the 𝐮𝐧𝐚𝐧𝐢𝐦𝐨𝐮𝐬 𝐚𝐜𝐜𝐞𝐩𝐭𝐚𝐧𝐜𝐞 𝐨𝐟 𝐧𝐞𝐰 𝐚𝐩𝐩𝐥𝐢𝐜𝐚𝐧𝐭𝐬 𝐭𝐨 𝐛𝐞𝐜𝐨𝐦𝐞 𝐬𝐡𝐚𝐫𝐞𝐡𝐨𝐥𝐝𝐞𝐫𝐬 (𝐩𝐚𝐫𝐭-𝐨𝐰𝐧𝐞𝐫𝐬 𝐨𝐟 𝐈𝐁𝐈𝐒 𝐆𝐫𝐨𝐮𝐩). The Board approved the continuation of their onboarding process, marking an important milestone in the company’s inclusivity and growth.

Other strategic resolutions were adopted, including strengthening governance structures, sustaining accountability, and reinforcing digital innovation for efficiency and transparency.

The meeting concluded with firm action points to guide the next phase of IBIS Group’s Master Plan. A motion for adjournment was moved by Sani Sa'ad Bunza and seconded by Muhammad Aliyu. The next Ownership Board Meeting is scheduled for Sunday, 5th October 2025.

Sani Sa'ad Bunza Esq., received two distinguished partners Shamsuddeen Ibrahim and Yusuf Nurudeen today at 𝗣𝗮𝗽𝗶𝗲𝗲'𝘀 𝗠𝗲𝗮𝘁𝗿𝗼 𝗚𝗮𝗿𝗱𝗲𝗻 𝗶𝗻 𝗔𝗯𝘂𝗷𝗮, for an extensive strategic meeting (rescheduled from last Thursday to today).

𝗙𝗲𝗲𝗱𝗯𝗮𝗰𝗸 & 𝗗𝗲𝗰𝗶𝘀𝗶𝗼𝗻: After reviewing IBIS policies, strategies, and documents, the partners expressed confidence in IBIS and chosen to Join 𝗗𝗶𝗿𝗲𝗰𝘁 𝗘𝗾𝘂𝗶𝘁𝘆 𝗣𝗮𝗿𝘁𝗶𝗰𝗶𝗽𝗮𝘁𝗶𝗼𝗻 (Shares), to become eligible members of the 𝗜𝗕𝗜𝗦 𝗢𝘄𝗻𝗲𝗿𝘀𝗵𝗶𝗽 𝗕𝗼𝗮𝗿𝗱 (Shareholders’ Assembly).

The Chairman addressed all questions and conditions, explaining shareholders’ 𝗿𝗶𝗴𝗵𝘁𝘀 & 𝗿𝗲𝗽𝗼𝗻𝘀𝗶𝗯𝗶𝗹𝗶𝘁𝗶𝗲𝘀, ownership structure, and member categories: 𝗙𝗼𝘂𝗻𝗱𝗲𝗿; 𝟯 𝗙𝗼𝘂𝗻𝗱𝗶𝗻𝗴 𝗠𝗲𝗺𝗯𝗲𝗿𝘀; 𝗘𝗮𝗿𝗹𝘆 𝗧𝗲𝗮𝗺 (~𝟵) plus 𝟰 via 𝘀𝗵𝗮𝗿𝗲-𝗶𝗻𝘀𝘁𝗮𝗹𝗹𝗺𝗲𝗻𝘁 𝗱𝗲𝗳𝗮𝘂𝗹𝘁 & 𝗰𝗼𝗻𝘃𝗲𝗿𝘀𝗶𝗼𝗻 𝗽𝗼𝗹𝗶𝗰𝘆; and 𝗔𝗱𝘃𝗶𝘀𝗼𝗿𝘀 𝗴𝗿𝗮𝗻𝘁𝗲𝗱 𝗲𝗾𝘂𝗶𝘁𝘆 for their roles.

𝗦𝘁𝗿𝗮𝘁𝗲𝗴𝗶𝗰 𝗜𝗻𝘀𝗶𝗴𝗵𝘁: The Special Advisor emphasized that 𝗼𝘄𝗻𝗲𝗿𝘀𝗵𝗶𝗽 𝘃𝗮𝗹𝘂𝗲 grows as IBIS grows. A key question, “Does our investment increase by number of shares?”, was answered by the Chairman: 𝗴𝗿𝗼𝘄𝘁𝗵 𝗶𝘀 𝗶𝗻 𝘃𝗮𝗹𝘂𝗲, 𝗻𝗼𝘁 𝗶𝗻 𝗻𝘂𝗺𝗯𝗲𝗿 𝗼𝗳 𝘀𝗵𝗮𝗿𝗲𝘀.

The Chairman Emphasized on the 𝗡𝗲𝘅𝘁 𝗦𝘁𝗲𝗽𝘀 for the partners: Investment link/form 𝘀𝗵𝗮𝗿𝗲𝗱 → Board review & approval → 𝗔𝗴𝗿𝗲𝗲𝗺𝗲𝗻𝘁 𝘀𝗶𝗴𝗻𝗶𝗻𝗴 → Shareholder forms & 𝗿𝗲𝗾𝘂𝗶𝗿𝗲𝗱 𝗰𝗵𝗮𝗿𝗴𝗲𝘀 → 𝗗𝗼𝗰𝘂𝗺𝗲𝗻𝘁𝗮𝘁𝗶𝗼𝗻 → 𝗢𝗻𝗯𝗼𝗮𝗿𝗱𝗶𝗻𝗴 𝗮𝘀 𝗳𝘂𝗹𝗹 𝘀𝗵𝗮𝗿𝗲𝗵𝗼𝗹𝗱𝗲𝗿𝘀.

He has also clearly explicated about the 𝗙𝗼𝗿𝗺𝗮𝘁𝗶𝘃𝗲 𝗣𝗵𝗮𝘀𝗲 & 𝗥𝗲𝘁𝘂𝗿𝗻𝘀 that: No immediate returns expected; dividend distribution will follow approved policies as IBIS and its subsidiaries stabilize and grow.

The Legal Advisor summarized key clauses and partnership terms, and delivered the 𝘃𝗼𝘁𝗲 𝗼𝗳 𝘁𝗵𝗮𝗻𝗸𝘀 to close the meeting. Both parties expressed satisfaction and readiness to add value to IBIS.

The Ownership Board of IBIS Group successfully held its July board meeting on Friday, 15th August 2025, after being postponed from the usual 5th day of the month due to important preparations in progress. The session was formally opened by 𝙩𝙝𝙚 𝙘𝙤𝙢𝙥𝙖𝙣𝙮 𝙨𝙚𝙘𝙧𝙚𝙩𝙖𝙧𝙮 Abubakar Yusuf SP, 𝙬𝙝𝙤 𝙥𝙧𝙚𝙨𝙚𝙣𝙩𝙚𝙙 𝙩𝙝𝙚 𝙖𝙜𝙚𝙣𝙙𝙖 𝙖𝙣𝙙 𝙞𝙣𝙫𝙞𝙩𝙚𝙙 𝙩𝙝𝙚 𝙤𝙥𝙚𝙣𝙞𝙣𝙜 𝙧𝙚𝙘𝙞𝙩𝙖𝙩𝙞𝙤𝙣 before handing over to the Chairman and Chief Executive Officer.

In his remarks, the Chairman warmly welcomed all attendees, thanked them for their cooperation, and appreciated their patience regarding the change of date. With 10 out of 14 members in attendance, the meeting recorded strong participation and significant progress across various sectors.

A detailed Operations Report was delivered by the 𝗖𝗵𝗶𝗲𝗳 𝗢𝗽𝗲𝗿𝗮𝘁𝗶𝗻𝗴 𝗢𝗳𝗳𝗶𝗰𝗲𝗿, highlighting achievements in IBIS Sewing Solution Stores and Global Harvest Trade activities in different states. The 𝑪𝒉𝒊𝒆𝒇 𝑭𝒊𝒏𝒂𝒏𝒄𝒆 𝑶𝒇𝒇𝒊𝒄𝒆𝒓 Shu'aibu Sani also gave a transparent Financial Report with a clear snapshot of disbursements, cashflows, and the current financial health of the company.

The 𝐂𝐡𝐚𝐢𝐫𝐦𝐚𝐧 & 𝐂𝐡𝐢𝐞𝐟 𝐄𝐱𝐞𝐜𝐮𝐭𝐢𝐯𝐞 𝐎𝐟𝐟𝐢𝐜𝐞𝐫 Abdulhadi Ya'u Maikawo went on to present important Strategic Business Updates and Opportunities, calling on all shareholders to continue contributing meaningfully toward ongoing initiatives and partnerships aimed at expanding IBIS.

A major highlight of the meeting was the 𝐎𝐟𝐟𝐢𝐜𝐢𝐚𝐥 𝐋𝐚𝐮𝐧𝐜𝐡 𝐨𝐟 𝐭𝐡𝐞 𝐈𝐁𝐈𝐒 𝐖𝐞𝐛𝐬𝐢𝐭𝐞 www.ibisgroup.com.ng, 𝐟𝐮𝐥𝐥𝐲 𝐝𝐞𝐬𝐢𝐠𝐧𝐞𝐝 𝐛𝐲 𝐭𝐡𝐞 𝐅𝐨𝐮𝐧𝐝𝐞𝐫, 𝐂𝐡𝐚𝐢𝐫𝐦𝐚𝐧 & 𝐂𝐄𝐎 at no cost to the company. The 𝗖𝗵𝗶𝗲𝗳 𝗢𝗽𝗲𝗿𝗮𝘁𝗶𝗻𝗴 𝗢𝗳𝗳𝗶𝗰𝗲𝗿 was presented with the 𝐁𝐞𝐬𝐭 𝐄𝐦𝐩𝐥𝐨𝐲𝐞𝐞 𝐨𝐟 𝐭𝐡𝐞 𝐌𝐨𝐧𝐭𝐡 𝐀𝐰𝐚𝐫𝐝 in recognition of his dedication and outstanding performance. 𝐓𝐡𝐞 𝐛𝐨𝐚𝐫𝐝 𝐦𝐞𝐦𝐛𝐞𝐫 𝐚𝐧𝐝 𝐥𝐞𝐠𝐚𝐥 𝐀𝐝𝐯𝐢𝐬𝐨𝐫 commended both the COO and CFO for their excellent presentations and commitment.

The meeting concluded with strong resolutions, policies and action plans to guide IBIS forward, and a motion for adjournment was moved by Shuaibu Laba Muhammad (COO) and seconded by Sani Sa'ad Bunza (Legal Adviser). The next Board Meeting is scheduled for 5th September 2025.
