# # # Heads up, businesses!

# # # # What is the Corporate Transparency Act?
In 2021, Congress enacted the Corporate Transparency Act (CTA). This new law aims to help law enforcement prevent, identify, and combat financial crimes. Under the CTA, most businesses are required to file a report with the Financial Crimes Enforcement Network (FinCEN).

Beginning on January 1, 2024, most companies in the United States will have to report information about their beneficial owners, i.e., the individuals who ultimately own or control the company. This information must be reported to FinCEN, a bureau of the U.S. Department of the Treasury.

# # # # Who is Required to File?
Companies required to report Beneficial Owner Information (BOI) to FinCEN are called reporting companies. There are two types of reporting companies:
- **Domestic reporting companies**: Corporations, limited liability companies, and any other entities created by the filing of a document with a secretary of state or any similar office in the United States.
- **Foreign reporting companies**: Entities (including corporations and limited liability companies) formed under the law of a foreign country that have registered to do business in the United States by the filing of a document with a secretary of state or any similar office.

# # # # Does this mean you?
Yes, that means you! Even the one-person LLC.

I can file for you and yes, it is a charge but you will be compliant.

# # # # Again, you are asking yourself... "Does that mean me?"
Your company may be a reporting company and need to report information about its beneficial owners if your company is:
1. A corporation, an LLC, or was otherwise created in the United States by filing a document with a secretary of state or any similar office under the law of a state or Indian tribe.

# # # # Could I be exempt?
There are a few businesses that are exempt from filing a BOI report. The majority of exemptions are for businesses that are frequently subject to substantial federal or state regulation or large operating companies. If your business is NOT an LLC, corporation, or an entity created by filing a document with the Secretary of State, you may be exempt. Other exemptions include businesses with more than $5 million in gross receipts and at least 20 employees.

# # # # When Does a Business Need to File a BOI Report?
BOI Reports must be filed by reporting companies within 90 days of the company's formation. If the reporting company already exists as of January 1, 2024, it must file its initial BOI report by January 1, 2025.

# # # # What Happens if a Business Fails to Comply With the CTA?
Failure to comply with this new law can result in civil and criminal penalties. Penalties can include fines of up to $500 per day that the violation continues, criminal penalties of up to two years of imprisonment, and a fine of up to $10,000. There are a few businesses that are exempt from filing a BOI report.

Chris Smith has earned endorsements from every group Guerry sought support from, but unlike Guerry, Smith didn’t appear out of nowhere seeking votes. He has been a dedicated presence, attending meetings, listening to constituents, and supporting their causes. Smith’s advocacy includes the right to carry guns, the heartbeat bill, citizens' rights, and the core principles of the Republican Party. As a committed Christian, Smith openly shares his devotion to his church, a rare quality in today’s political landscape.

The editorial hints from Guerry’s camp aim to cast doubt without concrete accusations, reflecting a lack of substance. Unlike Guerry, who hasn’t even filed until they both declared candidacy, Smith’s campaign has faced the usual challenges of filing and compliance. It’s well known that submitting ethics filings can be problematic, especially for a candidate like Smith, who relies on shoestring donations and personal funds, managed by a single volunteer accountant.

The timing of these rumors speaks volumes. Guerry and his supporters are not spreading these allegations for the voters' benefit but to boost a faltering campaign. When asked about this attack, Chris Smith’s response was telling. He paused just long enough to say, "Look, I'm busy. I am going to keep knocking on doors, telling people, 'I will speak for you. I will fight for you.'" His commitment to personal interaction and support extends to offering prayers for those in need, demonstrating his genuine care for the community.

Chris Smith embodies the belief that everyday people can run for office, echoing the principles of the Constitution’s framers. His grassroots campaign stands in stark contrast to Guerry’s tactics and big-money backing.

Again Wagener's Mayor and Council's failures hit the Headlines.

Wagener is still suffering from corruption.

Shall P&C reiterate:

Aiken County leaders took steps several months ago to increase oversight of Wagener fire fees amid concerns about financial transparency.

While Councilman Sandy Haskell expressed hopes that no wrongdoing has occurred, it wasn't long before the then, Wagener Fire Chief David Watson, was "allowed" to resign amidst allegations of embezzlement and mismanagement of funds.

Then the Wagener council unanimously approved a resolution granting authority to the county to review expenses before funds are released due to allegations of financial irregularities.

The irregularities date back several years and have prompted county scrutiny, with the town facing criticism for delays in providing requested information. A delay of 3 years and two county hired Accounting firms.

Wagener was forced to outsource their fire fees management, especially since the ex- Fire Chief is under a Sled investigation.

The Towns turnover in their accounting staff, has also raised questions about the Town's accounting practices.

An audit by Mauldin & Jenkins aimed to shed light on the situation, though the process has been slowed by incomplete information from the town. This is not the first time Mayor Mike Miller has had to face allegations concerning his inability to provide records for his spending.

County Councilmember Haskell has emphasized the need for significant improvements in Wagener's accounting procedures and a commitment to proper management, but has not followed through with any definite timeline for the Town to implement these changes and it looks like Mayor Miller will again slide by with his mismanagent of town funds. (See P&C's posts on town employees withholdings not paid in for insurance, retirement, and taxes).
The Mayor announced several months ago to the Town Council the town was no longer able to pay it's bills but oddly enough Mayor Miller purchased an electric sign for $45,000 an unnecessary purchase when town employees have no insurance. How about an $82,000 piece of equipment that a city like Lexington uses for Water Sewer but really, does Wagener need one that size? It doesn't matter cause MMMikey purchased one for Wagener. Remember $82,000.

Meanwhile, investigations into former fire chief David Watson's resignation, prompted by overtime concerns, are expanding. The State Law Enforcement Division has been called in to investigate overtime claims, with a broader probe into Watson's financial records underway. Pending the conclusion of these investigations, arrests may follow.

Hopefully Sled's investigation will expand to the Mayor, Town Council and Town Hall. Especially the Council, since they are responsible for the irrational spending by Mayor Miller.
