Chandler Mori Hamada Limited has hired a tax team consisting of senior partner Piphob Veraphong, partner Rachanee Prasongprasit and associate Theeravuth Temsiriwattanaku to establish a tax practice in Thailand.

“The tax team would supplement our M&A and corporate advisory work, as well as provide an opportunity to build out some capabilities on the dispute side because of the potential tax disputes that we can likely advise upon,” V Joseph Tisuthiwongse of Chandler Mori Hamada, said.

In addition to the three new tax lawyers, the firm has also hired Surapol Srangsomwong as senior adviser in its dispute resolution team.

Veraphong joins the firm from LawAlliance where he served as co-founder and partner for 23 years. Prior to establishing his own firm, Veraphong worked as partner at Linklaters for four years and Baker McKenzie for nine years.

Prasongprasit also joins the firm from LawAlliance. Additionally, she worked as a tax practitioner at Baker McKenzie and PricewaterhouseCoopers.

Temsiriwattanaku is a tax law academic and practitioner in Thailand.

Meanwhile, Srangsomwong also co-founded LawAlliance and joins the firm from Herbert Smith Freehills in Bangkok where he previously served as managing partner and worked as a partner for 18 years. Blackstone, advised by Simpson Thacher & Bartlett and Anderson Mori & Tomotsune, has launched a USD3.5 billion buyout of Japanese IT services provider TechnoPro Holdings in what will be the US global private equity firm’s largest investment to date in Japan.

TechnoPro, which is currently listed in the prime section of the Tokyo Stock Exchange, has mandated TMI 総合法律事務所 as legal counsel. The IT services provider has also set up a special committee consisting of three independent outside directors including Kazuhiko Yamada of Nakamura, Tsunoda & Matsumoto.

To carry out its duties, the special committee appointed Mori Hamada & Matsumoto as its legal adviser.

“As legal adviser to the special committee, we provided advice on the bidding process, candidate selection procedures and negotiation of transaction terms from the perspective of ensuring the fairness of the transaction,” Mori Hamada’s Kenichi Sekiguchi, who led the team advising the special committee with Kensuke Sakajiri, said.

A multi-jurisdictional Simpson Thacher team advised Blackstone, consisting of Anthony King, Makiko Harunari, and Étienne Renaudeau. Kazuaki Tobioka led Anderson Mori’s team advising the US global private equity firm as Japanese counsel.
