The Commission, like all EU institutions, must respect the principles of legal certainty and protection of legitimate expectations. In the field of State aid, those principles mean, among other things, that in practice the Commission cannot reopen a State aid case if there is no change in the measure in question.

On 26 June 2025, the Court of Justice of the EU, in case C-776/23 P, Commission v Spain, ruled that the Commission violated both of those principles. The Commission had appealed against the judgment of the General Court in case, T-826/14, Spain v Commission, by which the General Court annulled Commission decision 2015/314 concerning the tax amortisation of financial goodwill for foreign shareholding acquisitions.

The judgment of the General Court in a related case brought by Banco Santander [T-12/15] was reviewed here on 3 November 2023. It can be accessed at: https://loom.ly/fZLifKE

In that case, the General Court agreed with Banco Santander that both the Commission and the Spanish tax authorities were wrong in their interpretation of the Spanish tax law. The definitive interpretation of national law is to be found in the national jurisprudence and the judgments of national courts...

🔔 NEW STATE AID BLOG POST: 𝐃𝐞𝐝𝐮𝐜𝐭𝐢𝐨𝐧𝐬 𝐟𝐫𝐨𝐦 𝐭𝐡𝐞 𝐓𝐚𝐱 𝐁𝐚𝐬𝐞 𝐀𝐫𝐞 𝐧𝐨𝐭 𝐍𝐞𝐜𝐞𝐬𝐬𝐚𝐫𝐢𝐥𝐲 𝐒𝐞𝐥𝐞𝐜𝐭𝐢𝐯𝐞

Member States may design their tax system as they wish, as long as they conform with State aid rules. Tax systems do not only contain taxes but also exceptions from taxes or tax bases. Exceptions that apply to any tax payer are not selective in the meaning of Article 107(1) TFEU. For example, deduction from taxable income of the cost incurred to generate that income is a normal practice and is not selective.

In the area of taxation, it is not only exceptions or deductions that can be selective in the meaning of Article 107(1) TFEU but also taxes with narrow base that exclude certain comparable products, sources of income or companies.

On 25 June 2025, the General Court, in case T-510/20 RENV, Fachverband Spielhallen v Commission, had to consider whether a German special tax or levy on casino profits that was a derogation from the normal system of taxation and, therefore, constituted State aid.

Several Member States have taxed or want to tax soft drinks with added sugar. They are one of the causes of obesity without having any nutritional value. The problem is how to tax the sugary drinks without the tax being considered as State aid for the drinks that are not taxed. A recent measure implemented by Finland provides guidance on both what to do and, as I explain at the end of this article, what not to do [See Commission decision SA.104131].

Soft drinks have for some time been subject to taxation in Finland. Last year the framework for taxing soft drinks was revised. The new tax has a two-fold purpose: To raise revenue for the state and to incentivise consumers to switch to less sugary drinks.

The new tax defines the scope of the tax by listing the products which are subject to the tax, rather than by setting out an abstract description of the taxed products.
