Herbert Smith Freehills Kramer, CM Law Firm and Ogier are among five law firms to assist SF Holding to complete dual-track financing, raising HKD5.9 billion through an H-share placement and convertible bonds issuance.

CM Law Firm and Ogier acted as SF Holding’s PRC and British Virgin Islands legal counsel, respectively.

HSF Kramer advised the Shenzhen and Hong Kong-listed company on UK and Hong Kong law, with Jason Sung, and his team advising on the H-share placement. William Ku advised on the convertible bond issuance. Kong Jin counselled on US law.

Linklaters and King & Wood Mallesons guided the underwriters, Goldman Sachs and Huatai International. Linklaters’ Ki Taiki and Donnelly Chan acted as Hong Kong and US legal counsel, while King & Wood Mallesons advised on PRC law.

顺丰控股通过H股配售和可转债发行双轨并行，完成总额59亿港元的融资项目。史密夫斐尔律师事务所、澄明则正律师事务所、奥杰律师事务所、年利达律师事务所和金杜律师事务所协助交易各方完成项目。

澄明则正所和奥杰分别担任顺丰控股的中国法律顾问和英属维尔京群岛法律顾问。

史密夫斐尔担任顺丰的英国和香港法律顾问，该所的宋子淳带领团队负责H股配售事宜，古伟恒则主导可转债发行工作，孔瑾还提供了美国法咨询服务。

承销商高盛和华泰国际则获得了年利达和金杜所的支持。年利达团队由纪泰旭和陈伟邦牵头，提供香港及美国法律咨询；金杜所则专注于为承销商提供中国法方面的咨询。

Jingtian & Gongcheng has hired top dispute resolution lawyer Liu Honghuan as a senior partner in the firm’s Beijing office with a spokesman saying this enhances its overall capabilities and competitiveness in commercial disputes and intellectual property litigation.

Liu has been in the industry for more than 30 years and has experience leading dispute resolution teams at top law firms. Prior to joining Jingtian & Gongcheng, she was a partner at the Baker McKenzie FenXun, where she was responsible for establishing and leading the dispute resolution practice. Gordon Davidson, Sidley Austin’s former head of restructuring, and Fergus Saurin, ex-head of Kirkland & Ellis’ dispute resolution practice in Asia, have joined Broadfield’s first overseas branch in Hong Kong.

Davidson, with 13 years of experience in the legal sector, joins the UK firm as head of restructuring and insolvency in Asia and a member of the firm’s executive committee. He brought along a team of five from Sidley Austin and Baker McKenzie to Broadfield.

Saurin who bring 14 years of experience to Broadfield, will lead the firm’s dispute resolution and investigations practice in Asia.

Broadfield’s Hong Kong branch opened earlier this year and is led by managing partner Effie Vasilopoulo.
