Constitution for EVERYTHING IS EVERYTHING
NAME: The Collective shall be known as Everything is Everything
ORGANISATION: Everything is Everything is a democratic music Collective which aims to produce and perform music and related multi-media art, as well as to provide a vehicle for the dissemination of critical debate and a network connecting social and cultural movements.
AIMS: The Aims of the Collective shall be:
Facilitate the exposure of material produced by Everything is Everything.
Encourage member development through sharing of skills and experience.
Encourage network building between members and the musical, local and arts community.
To provide a platform through music and related multimedia for the dissemination of ideas, critical debate and the networking of social and cultural movements.
To campaign for improved provision of accessible music and cultural facilities in our community.
MEMBERSHIP:
A. Membership is by successful application. (see note below re application for membership)
B. Membership can be revoked due to inactivity or misconduct or lack of commitment, if half plus one of the members are in agreement.
C. There will be no maximum number of members, however applications for membership are considered on the basis of the applicant's potential input and contribution to the Collective.
D. Membership needs to be recommended by at least one existing member of the Collective.
E. All those whose application is successful shall be considered Full Members (voting).
F. From time to time Everything is Everything may collaborate with associate artists who shall be Associate Members. They shall have full voting rights in relation to the piece of work on which they are collaborating, but not to decisions in relation to the Collective as a whole.
G. Membership of the association shall be free to all members.
CONDUCT OF BUSINESS:
It shall be a condition of membership that members at all times conduct themselves in a reasonable manner at events or in premises used by the Collective. Any member may be excluded for breach of this condition, or for any other conduct contravening the aims of the Collective, by a majority of those present and voting at any meeting of members. Any member so excluded shall have a right of appeal to the Collective.
FINANCE:
A. There is no annual membership fee.
B. Participating members are expected to pay an equal share of performance, promotional or event costs. This share shall be paid to the Treasurer within one month of expense incurred.
C. All monies raised by or on behalf of Everything is Everything shall be applied to further the objects of Everything is Everything and for no other purpose.
D. All members shall be entitled to equal reward in respect of contributions undertaken, in respect of authoring, composition, performance and production of material under the remit of Everything is Everything should an adequate surplus be accrued.
E. The Treasurer shall open and maintain a banking account in the name of the Collective and shall keep proper accounts of income and expenditure and report on them or deliver them up as required by the members.
F. All expenditure and management of finances shall be undertaken by the Treasurer on behalf of the members.
COLLECTIVE:
The Collective shall comprise of Full members who shall hold the roles of Secretary and Treasurer and Chairperson and Artistic Director/Poducer in rotation. Each role is held for six months and may be extended if the members of the Collective so agree.
The Collective shall meet regularly to discuss the progress of the object of the Collective.
A quorum shall be not less than 75% of members. A quorum is needed if meetings are to be held and if decisions are to be taken regarding the object of the Collective. Any decisions related to the object of the Collective must have the approval of two thirds of those present at the meeting.
ALTERATIONS TO THE CONSTITUTION:
Any proposal to alter this Constitution must be submitted to the Collective in writing at least five days before the Collective are due to meet regarding the object of the Collective. Any alteration shall require the approval of two thirds of those present at the meeting.
DISSOLUTION:
If the Collective decide, by a simple majority, at any time that on the grounds of expense or otherwise that it is necessary or advisable to dissolve the Collective it shall call a special meeting of all members of the Collective.
A minimum of ten days notice shall be given of such a meeting stating the terms of the resolution to be proposed thereat.
If such a resolution shall be confirmed by a two-thirds majority of those present and voting at such a meeting, the Treasurer shall have the power to dispose of any assets held by or in the name of the Collective. All proceeds will then be distributed equally among all members of the Collective.
DUTIES OF OFFICERS:
The ARTISTIC DIRECTOR/PRODUCER shall be charged with advancing the creative output of the Collective.
The CHAIRPERSON shall conduct the meetings of the Collective.
The TREASURER shall open and maintain a banking account in the name of the Collective and shall keep proper accounts of income and expenditure and report on them or deliver them up as required by the members.
The SECRETARY (in consultation with the Chairperson) shall be responsible for the convening of all meetings and the giving of the prescribed notice to members. S/he shall ensure that a proper record is kept of all meetings of the Collective in the form of minutes.
Any member of the Collective delegated to represent the Collective in consultation with any other body shall act on the instructions of the Collective and shall report back to the following meeting of the Collective.
APPLICATION FOR MEMBERSHIP:
Application for membership to the Collective will be made on the applicant's behalf by a member of the Collective. The basis on which a member shall be accepted shall be on a case by case basis and agreed at a meeting of all members of the Collective.
