*PhysicsWallah sets IPO price band at Rs 103-109/share; aims to raise Rs 3,480-cr*

New Delhi, Nov 6: Edtech unicorn PhysicsWallah on Thursday fixed a price band of Rs 103-109 per share for its upcoming initial public offering (IPO), aiming for a valuation of over Rs 31,500 crore at the upper end.

The company's Rs 3,480-crore maiden public offering will open on November 11 and conclude on November 13 and anchor investors will be allocated shares on November 10, according to its public announcement.

The upcoming IPO comprises a fresh issue of equity shares worth Rs 3,100 crore and an offer for sale (OFS) of shares aggregating up to Rs 380 crore by promoters.

Promoters Alakh Pandey and Prateek B**b will each offload shares worth Rs 190 crore through the OFS. At present, both hold 40.31 per cent stake each in the company.

The Noida-based company filed draft papers in March with Sebi for an IPO through a confidential pre-filing route and had received the market regulator's approval in July. Following this, the company filed an updated DRHP in September before filing an RHP.

The company opted for the confidential pre-filing route, which allowed it to withhold public disclosure of IPO details until later stages.

Funds will be based to fuel the company's expansion and growth initiatives.

Of the fresh issue proceeds, PhysicsWallah said Rs 460.5 crore will go towards fit-outs of new offline and hybrid centers and Rs 548.3 crore will be used for lease payments of existing centers.

Also, the company will invest Rs 47.2 crore in its subsidiary Xylem Learning, including Rs 31.6 crore for new centers and Rs 15.5 crore for lease payments and hostels.

A further Rs 33.7 crore will be directed to Utkarsh Classes and Edutech for lease payments of its centers. Additionally, Rs 200.1 crore is earmarked for server and cloud infrastructure, Rs 710 crore for marketing initiatives, and Rs 26.5 crore for acquiring additional stake in Utkarsh Classes.

PhysicsWallah offers test preparation courses for competitive exams focusing on JEE, NEET, GATE and UPSC along with upskilling programs, delivered through online platforms (YouTube, website, and apps), tech-enabled offline centers, and hybrid centers that combine online teaching with in-person support.

Its main YouTube channel, "Physics Wallah-Alakh Pandey," had about 13.7 million subscribers as of July 15, 2025, while its overall YouTube network had 98.8 million subscribers by June 30, 2025, growing at a CAGR of 41.8 per cent between FY23 and FY25. Apart from its strong digital presence, PhysicsWallah has also built a significant offline footprint.

The company, which is backed by WestBridge Capital, Hornbill, and GSV Ventures, narrowed its losses to Rs 243 crore in the year ended March 2025 from Rs 1,131 crore in the preceding year. However, revenue rose to Rs 2,887 crore, from Rs 1,941 crore in the same period.

According to the company, 75 per cent of the issue size has been reserved for qualified institutional buyers, 15 per cent for non-institutional investors and the remaining 10 per cent for retail investors.

PhysicsWallah will make its stock market debut on November 18.–(PTI)

*Search operation underway to track down terrorists in J-K's Kishtwar*

Jammu, Nov 6: A cordon and search operation is underway to track down at least two to three terrorists believed to be hiding in a forested area of Jammu and Kashmir's Kishtwar district, officials said on Thursday.

The operation follows an encounter that broke out between terrorists and security forces in the heavily forested Chatru belt on Wednesday in which a jawan sustained injuries.

According to sources, the terrorists engaged in the encounter are believed to be Pakistani nationals.

"The search operation is underway to track down the terrorists. However, there has been no exchange of fire since yesterday afternoon," a senior security official said.

The operation is being assisted by drones and sniffer dogs, and additional reinforcements have been deployed to further strengthen the cordon, the official added.

Security forces have been actively monitoring the movement of terrorists in the mountainous district, which has witnessed multiple encounters in recent months.

Kishtwar has seen six encounters in the past seven months as forces continue their crackdown on Pakistan-based terrorists operating in the region, which shares borders with Doda and Udhampur districts.–(PTI)

*ED raids in J-K narco-terror case; premises of ex-minister Babu Singh searched*

Jammu, Nov 6: The Enforcement Directorate on Thursday conducted simultaneous searches in Jammu and Kashmir, including at the premises of former minister Babu Singh, as part of a drugs-linked money laundering investigation, official sources said.

Six premises in Srinagar and two in Jammu are being covered under the provisions of the Prevention of Money Laundering Act (PMLA).

The case pertains to a narcotics-linked money laundering case, first detected by the UT Police in March 2022, where a man named Mohd Shareef Shah was apprehended while attempting to deliver Rs 6.9 lakh hawala money from Kashmir to Jammu to one Jatinder Singh @ Babu Singh alias Jatinder Singh, the sources said.

They said this money was intended to "fund" separatist and secessionist groups in Jammu to carry out subversive activities.

The agencies found an alleged nexus involving Saif Din, Farooq Ahmed Naikoo, Mubashir Mushtaq Fafoo where Pakistan based operatives were running a narco-terror module to fund subversive activities.

Naikoo orchestrated a narco-terror funding network where he**in smuggled from Pakistan was sold in India during 2021-22 and the cash from these sales (over Rs 2 crore) was deposited in local bank accounts in Srinagar during 2021-22, they said.

These funds are alleged to have been transferred to bank accounts of Indian citizens working in Dubai who worked as 'mules' (illegal carriers of money) to obscure the origin of funds, they said.

These "proceeds of crime" were withdrawn and accumulated in Dubai and further routed to Hizbul Mujahideen terrorists operating from Pakistan, the ED sources said.

The Special Investigation Agency (SIA) had filed a chargesheet against 12 accused, including the former minister, in the hawala money case, and further investigation is underway into a cross-border narcotics syndicate involving him in terror funding, officials said.

Singh was arrested in April 2022 after one of his workers, Mohammad Shareef Shah, a resident of south Kashmir's Kokernag, was held with hawala money amounting to Rs 6.90 lakh in Jammu.

In 2024, SIA arrested two more persons, including a policeman, for allegedly being part of a cross-border narcotic syndicate involved in terror funding in Jammu.

The arrest of Selection grade constable Saif-ud-din of Jammu and former sarpanch Farooq Ahmad Jungal of Uri in north Kashmir's Baramulla district took the number of accused in the case to 17, they said.

An SIA team had also raided the house of a policeman and a sarpanch in the Belicharana area of Jammu on January 2 in connection with the terror financing case involving Singh and Shah, and seized some electronic gadgets, the officials said.–(PTI)
