Sullivan & Cromwell has announced the development of a bespoke Agreement Analyzer built with OpenAI, one of several efforts from the firm to build proprietary tools. The Analyzer's output includes memoranda which list issues in the proposed agreements, provide the rationale for the issues, and offer a set of proposed treatments that would address the problems. It also provides a Microsoft Word document with tracked changes to the agreement, which users can accept, modify or reject.
Partner John Savva, who led development of the Analyzer, told Law.com the ability to create a tool used across the firm's corporate group, and the complexity of the work involved in agreement reviews, made it an appealing place to partner with the developer.
"We selected Agreement Analyzer to be part of the collaboration with OpenAI for a few reasons," he said. "One was it potentially has very broad application across practice areas, it's agnostic as to the type of agreement you're analyzing. ... In addition, it's a tool that is suited to a very sophisticated use case."
