Exploring Break-Up Fees on M&A Monday! 🔍

Expert: It's a contractual provision in mergers or acquisitions, imposing a financial penalty to keep deals intact. 💼

To discourage sellers from using one deal as leverage in another deal.

From the buyer perspective, once these are signed, they are pretty much going through with the deal.

Because this means you've already had the time to shop around, and they are moving forward with you.

M&A Mondays continue! 📈 Break-Up Fees decoded:

Intermediate: A break-up fee is a payment made by one party to another in case a business deal falls through. 💰

Often used as compensation for the time and effort invested in negotiations.

Apparently these are used thanks to the common practice of adding an exclusivity clause which prohibits the buyer from "shopping the deal" 👀

Aka using your offer as leverage in other negotiations.

Editing is a skill that I just started but it's one that I quickly grew fond of!

I realized that there are really only a few goals that I have to hit until I can finally call one of my video projects "Finished"

1: Atmosphere.
Most raw video footage is rather boring
typically because it lacks atmosphere.

I build it up by first adding music
And then by stacking sounds to create an exaggeration of what you would expect to hear!

2: Captions/Gifs.
These simple additions keep people engaged and give you a chance to add some of your personality into your project.

3: Effects/Animations
These add the Flare that you need to stand out. I always like a good intro effect to catch peoples attention out the gate.
